Effective Date: 1st April 2026

1. AGREEMENT

This Agreement is between:

  • You (the user or the entity you represent)
    AND
  • ATOM ENTERPRISES PVT. LTD. (“ATOM”, “we”, “our”)
    AND
  • ATHARV IT SOLUTIONS (“ATHARV”, operational partner)

This Agreement governs your use of ATOM’s SaaS products, including but not limited to:

  • Import2Books.com
  • eCom2Tally.in
  • API2Books.com

2. BUSINESS STRUCTURE DISCLOSURE

Effective 1st April 2026:

  • ATOM is the owner of the products
  • ATHARV IT SOLUTIONS is the authorized operational partner

ATHARV is responsible for:

  • Sales
  • Customer support
  • Billing
  • Product updates and service delivery

ATOM retains ownership, control of intellectual property, and overall platform rights.

3. ACCEPTANCE OF TERMS

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

4. DESCRIPTION OF SERVICES

The Services include SaaS tools designed to automate accounting processes, including importing and processing data for use with accounting software such as Tally.

5. USER REGISTRATION & ACCOUNT RESPONSIBILITY

You agree to:

  • Provide accurate and complete information
  • Maintain confidentiality of login credentials
  • Be responsible for all activities under your account

We reserve the right to suspend or terminate accounts with false or misleading information.

6. ROLE OF ATHARV IT SOLUTIONS

You acknowledge and agree that:

  • ATHARV IT SOLUTIONS will handle customer interaction, support, billing, and operational services
  • ATHARV acts on behalf of ATOM for service delivery purposes
  • Any communication, support, or billing interaction may be handled by ATHARV

7. FEES, PAYMENTS & SUBSCRIPTIONS

  • Services are provided on a subscription basis
  • Payments may be processed via third-party payment gateways
  • Subscriptions may auto-renew unless cancelled in advance

ATHARV IT SOLUTIONS may manage billing and payment collection.

Pricing may change, but changes will not affect your active billing cycle.

8. REFUND POLICY

Refunds, if applicable, shall be governed by the published Refund Policy.

Any eligible refund will be processed by the operational partner managing billing (ATHARV).

9. USER CONDUCT & RESTRICTIONS

You agree not to:

  • Use the Services for unlawful purposes
  • Upload malicious or harmful content
  • Violate intellectual property rights
  • Misuse the platform or attempt unauthorized access

Violation may result in suspension or termination.

10. DATA OWNERSHIP

  • You retain ownership of your data
  • We process your data solely to provide services

You grant us (ATOM and ATHARV) permission to:

  • Access
  • Process
  • Store (temporarily)
  • Transmit

your data strictly for service delivery purposes.

11. DATA PROCESSING & PRIVACY

Your data is handled as per our Privacy Policy.

  • ATOM = Data Controller
  • ATHARV = Data Processor

Both parties are bound by confidentiality and data protection obligations.

12. SERVICE AVAILABILITY

We aim to provide uninterrupted services but do not guarantee:

  • Error-free operation
  • Continuous availability

Services may be modified, suspended, or discontinued at any time.

13. INTELLECTUAL PROPERTY

  • All products, software, branding, and systems are owned by ATOM
  • You are granted a limited, non-exclusive, non-transferable right to use the Services

You may not:

  • Copy, resell, or redistribute the Services
  • Reverse engineer or duplicate the system

14. THIRD-PARTY SERVICES

We may use third-party services (payment gateways, hosting, etc.).

We are not responsible for their policies or actions.

15. DISCLAIMER OF WARRANTIES

The Services are provided “as is” and “as available”.

We do not guarantee:

  • Accuracy
  • Reliability
  • Error-free performance

Use of the Services is at your own risk.

16. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • ATOM and ATHARV shall not be liable for:
    • Indirect or consequential damages
    • Loss of profits or data

Total liability shall not exceed the amount paid by you for the Services.

17. INDEMNITY

You agree to indemnify and hold harmless:

  • ATOM ENTERPRISES PVT. LTD.
  • ATHARV IT SOLUTIONS

against any claims, damages, or losses arising from:

  • Your misuse of the Services
  • Violation of laws
  • Infringement of third-party rights

18. SUSPENSION & TERMINATION

We may suspend or terminate your account if:

  • You violate these Terms
  • Illegal activity is suspected
  • Required by law

You may terminate your account at any time.

19. MODIFICATION OF TERMS

We may update these Terms from time to time.

  • Significant changes will be notified
  • Continued use implies acceptance

20. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of India.

Jurisdiction: Mumbai, Maharashtra

21. DISPUTE RESOLUTION

Any disputes shall be resolved through arbitration under Indian law in Mumbai.
